Just pure guesswork but is this in lieu of money pumped into the club by RW and DM that kept the wolf from the door. I accept that this may be private information but any news like this will be open to speculation.

840,000 new shares is just over 45% of the new total number, based on there being 1,010,513 shares in the 2023 accounts (haven't time to check whether any shares were issued after 30 June 2023, apart from these).
Conversion of earlier loans to the company is an obvious explanation but has £2.1m been loaned to the company or has some new money come in?
What's also interesting is that, whereas previously the only PSC ("person with significant control") was Roland Wycherley, Companies House now shows three new PSCs since 5 September - Duncan Montgomery, Blue & White UK Holdings, & Liam Dooley.
A PSC can be someone who holds more than 25% of a company's shares or voting rights, someone who has the right to appoint or remove the majority of the board of directors or who has the right to exercise significant influence or control over the company.

This seems to have parallels with when RW set up the so called 'gift' of the training ground to the Club in 2017.
He then allocated himself 160,000 new shares.
Doesn't like being out of pocket does he?

But those three PSCs were registered on 6th September. And two of them are the same person, albeit not in law (Salomon v Salomon & Co Ltd). On 13th September 840,000 new shares were issued. Does that now mean that RW regains the right to be the only PSC? And according to Companies House, Duncan Montgomery has always been the sole director of this company Blue and White UK Holdings Ltd. The name was changed from Blue and Amber Holdings on 9th September 2020.

I was under the impression that Hughes held a further 78,000 shares by virtue of some arrangement involving his private pension. As a non accountant I'm struggling somewhat here - at present I'm bogged down looking at RW's other Company Wychbury Properties LLP!

Does this somehow mean that there has been a very quiet transfer of power and we now have Mr Montgomery, Blue & White Holdings (also Mr Montgomery,)and Liam Dooley each owning 25% of the shares ,,75% in total. Will be interesting reading over the coming days.

I wonder what the benefit is of having both Montgomery and B&W Holdings (which he owns) as PSCs.
Would that effectively give him twice as much power as someone like Liam Dooley who is a PSC, but doesn’t also own a company that is a PSC?

I've read it as two separate PSCs, although TBF I really haven't a clue. Hopefully we will hear more in the near future,but with the clubs track record they probably won't say a thing ...I mean as stakeholders we still haven't been told what went on with SC,BC and RW,but the club still expect us to spend money with them through thin and even thinner

Maybe Roland has done this to raise half a million from another party by selling them 200,000 shares. To keep his holding at over 60% he therefore needed to buy 400,000 shares himself. Rather neat sum to get to 600,000 new shares.
Whatever has happened, fair play to Roland if he has put more money in.

A quick questions for any accountants out there - I've just looked at the accounts and seen that the stadium is valued at replacement cost. Is that normal for the valuation of an asset like property where there is a readily available market price ?
